Terms of Service

Welcome to Tracer. These Terms of Service (“Terms”) are a binding agreement between you and Tracer, Inc. (“Tracer,” “we,” “us,” or “our”) and govern your use of the Tracer app and tracerclub.com (the “Services”). Please read them carefully — they include an arbitration agreement and class-action waiver that affect your legal rights.

1. Eligibility & accounts

• You must be at least 13 years old to use Tracer. If you are under the age of majority where you live, you may use Tracer only with the involvement of a parent or guardian, who agrees to these Terms on your behalf.
• You are responsible for your account, for keeping your password secure, and for all activity that occurs under it. Notify us immediately of any unauthorized use.
• You agree to provide accurate information and to keep it current. One person may not maintain accounts for the purpose of evading enforcement.

2. The Services

Tracer lets you track runs and activities, share them, follow others, join groups, compete on leaderboards, broadcast live, support creators, and raise money for causes. We may add, change, or remove features at any time. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms.

3. Your content & license

You own the content you create — your runs, photos, videos, captions, comments, and posts (“User Content”). You keep all rights you have in it.

To operate the Services, you grant Tracer a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt (e.g. resize images, generate share cards, and create map “ghost traces”), publish, publicly display, and distribute your User Content for the purpose of operating, promoting, and improving the Services and as permitted by your audience and privacy settings. This license ends when you delete the User Content or your account, except for content others have re-shared, content retained in backups for a limited time, and anonymized or aggregated data.

Routes and the community map. Activities you record may be displayed publicly on the Tracer map as ghost traces according to your privacy settings, and a route you record (with any attached photo) may be selected and added to Tracer’s curated route library with attribution to you. You can opt a run out of public display by marking it private.

You represent that you have the rights to the User Content you submit and that it does not violate these Terms or anyone’s rights.

4. Acceptable Use Policy

Tracer is a place for athletes, creators, and supporters — including solo athletes, women training alone, minors, and public figures. To keep it safe for everyone, these rules apply to everything you post, broadcast, stream, or fundraise. We model our content standards on mainstream social platforms such as Instagram. We have zero tolerance for objectionable content and abusive behavior.

No adult or sexual content

Tracer is not an adult platform. No nudity, pornography, sexual content, or sexualized images of yourself or others — including in profile photos, posts, captions, live broadcasts, comments, group content, or creator/exclusive-tier content. This includes sexually suggestive content and content that exists primarily for sexual gratification. As with Instagram, limited exceptions may apply to content that is clearly artistic, educational, or health-related (for example, post-mastectomy imagery or breastfeeding), at our discretion.

Nothing illegal

No content that breaks the law — including illegal drugs, weapons sales, threats of violence, or any content sexualizing or endangering minors. Content involving minors must always be appropriate.

No harassment, hate, or doxxing

No targeted abuse, bullying, slurs, or content that attacks or demeans people based on race, ethnicity, national origin, gender, gender identity, sexual orientation, religion, disability, age, or body. Never share another person’s home address, workplace, or live location without their consent.

Respect privacy & safety tools

Decoy modes (“Mars”/“Moon”) and private runs are safety features. Don’t try to deduce, screenshot, expose, or work around someone’s hidden location. Doing so is grounds for a permanent ban.

No violence, self-harm, or dangerous content

No content that promotes, incites, or glorifies violence, terrorism, self-harm, suicide, or eating disorders, or that encourages dangerous activities.

Honest activities & fundraising

• Don’t fake your runs. GPS spoofing, manually fabricated routes, or activities you didn’t actually do undermine leaderboards, fundraising, and trust.
• Fundraise honestly. Campaigns and team fundraisers must go to the cause they describe. No fake charities, no impersonating real ones, and no using donations for personal purposes unless clearly disclosed upfront. Fraud may be reported to our payment partners and to authorities.

No impersonation, spam, or scams

Don’t pose as another person, brand, or organization. No spam, get-rich-quick schemes, fake giveaways, malware, or pushing followers to deceptive off-platform links.

No platform abuse

Don’t scrape, reverse-engineer, overload, or interfere with the Services or their security, attempt unauthorized access, or use bots to manipulate engagement, leaderboards, or donations.

5. Reporting, blocking & enforcement

• Report: tap the “···” menu on any profile, post, group, comment, or live broadcast and choose Report. You can also email glen@tracerclub.com.
• Block: you can block any user to stop them from interacting with you or seeing your content.
• Our response: we review reports of objectionable content and will act on violations — typically within 24 hours — by removing content and/or ejecting the user who provided it. Serious safety issues (credible threats, doxxing, or content involving a minor) are escalated immediately and may be referred to law enforcement.
• Our discretion: we may remove content, hide broadcasts, suspend monetization, or suspend or terminate accounts that violate these Terms — with or without notice. We are not liable for any action taken in good faith to enforce these Terms.

6. Payments, subscriptions & payouts

• Creator subscriptions & tips are processed on the web at tracerclub.com through Stripe and Stripe Connect. By subscribing you authorize the stated recurring charge until you cancel; you can cancel at any time, effective at the end of the current billing period.
• Creators who monetize must connect a Stripe account, accept Stripe’s terms, and are responsible for delivering any promised perks and for their own taxes. Tracer may retain a platform fee as disclosed at the time. Payouts are made through Stripe on Stripe’s schedule.
• Any premium features Tracer itself offers will be billed on the terms disclosed at purchase. Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds: except where required by law or expressly stated, payments are non-refundable. Purchases made through the Apple App Store are subject to Apple’s refund policies.
• Taxes: you are responsible for any taxes associated with your purchases or earnings.

7. Fundraising & donations

Donations to nonprofit campaigns are processed through our donation partner (Pledge.to). Tracer is a technology platform, not a charity, broker, or financial advisor, and does not guarantee that funds raised will be used as described by an organizer. Donations may be non-refundable and tax-deductibility depends on the recipient and your jurisdiction — consult your own advisor. We may remove campaigns that appear fraudulent or that violate these Terms.

GPS, maps, distance, pace, elevation, and routing are estimates and can be inaccurate due to device, signal, weather, or map-data limitations. Do not rely on the Services for navigation, emergency, or safety-critical decisions. You are responsible for choosing what location information to share and with whom; see our Privacy Policy for the controls available to you.

10. Third-party services

The Services integrate third parties such as Stripe, Pledge.to, Spotify, Apple Music, Garmin, Strava, Mapbox, and Apple/Google. Your use of those services is governed by their own terms and privacy policies, and Tracer is not responsible for them. Connecting a third-party account is optional and you can disconnect it at any time.

11. Intellectual property

The Services — including the Tracer name, logo, software, design, and content we create — are owned by Tracer, Inc. and protected by intellectual-property laws. Except for the limited license to use the Services granted above, we reserve all rights. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services without our permission. We welcome feedback, and you grant us the right to use any feedback you provide without restriction or compensation.

12. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time if you violate these Terms, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination (including content license for already-shared content, payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRACER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT ANY CONTENT OR DATA WILL BE PRESERVED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, ANY USER CONTENT, ANY THIRD-PARTY CONDUCT, OR ANY PHYSICAL ACTIVITY UNDERTAKEN USING THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACER’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TRACER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THESE LIMITATIONS FORM AN ESSENTIAL BASIS OF THE AGREEMENT.

15. Indemnification

You agree to defend, indemnify, and hold harmless Tracer, Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, your violation of these Terms or applicable law, or your infringement of any third party’s rights.

16. Dispute resolution & arbitration

Please read this section carefully — it affects your legal rights.

• Informal resolution first. Before filing a claim, you agree to contact us at glen@tracerclub.com and try to resolve the dispute informally for at least 30 days.
• Binding arbitration. Except for the exceptions below, you and Tracer agree to resolve any dispute arising out of or relating to these Terms or the Services through final and binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court.
• Class-action waiver. Disputes will be resolved only on an individual basis; you and Tracer waive any right to participate in a class, collective, or representative action.
• Exceptions. Either party may bring claims in small-claims court, and either party may seek injunctive relief for intellectual-property or unauthorized-access matters.
• Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing glen@tracerclub.com with your account email and the statement that you opt out of arbitration.

17. Apple App Store additional terms

If you obtained the Tracer app from the Apple App Store, the following also apply:

• These Terms are between you and Tracer, Inc. only, not Apple. Apple is not responsible for the app or its content.
• Apple has no obligation to provide maintenance or support for the app.
• To the extent permitted by law, Apple has no warranty obligation; any claims that the app fails to conform to a warranty are Tracer’s responsibility.
• Apple is not responsible for addressing product claims, including product-liability, legal/regulatory, or consumer-protection claims.
• For third-party intellectual-property claims regarding the app, Tracer, not Apple, is responsible.
• You represent that you are not located in a U.S.-embargoed country or on a U.S. government restricted-parties list, and you will comply with applicable third-party agreements when using the app.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

18. Changes & general terms

• Changes: we may update these Terms; if changes are material we’ll update the “Last updated” date and notify you in the app or by email. Continued use after changes means you accept them.
• Governing law: these Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration section, any permitted court actions will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.
• Entire agreement; severability: these Terms, the Privacy Policy, and the Acceptable Use Policy are the entire agreement between you and Tracer. If any provision is found unenforceable, the rest remains in effect.
• No waiver; assignment: our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
